Client shall not publish or disseminate the work produced from this estimate until  Photographer receives payment in full as proposed in this agreement. Upon receipt of FULL PAYMENT, Photographer shall grant the Client the following Exclusive Rights.

For the Product, Project, or Publications of:  Website Print marketing, Print  Collateral, Competition Submittals, Book Entries, Internal Proposals / Presentations and other media purposes.

Unless otherwise provided in this agreement, the grant of rights herein is limited to use by the Client in the  United States, provided, however, that the Client may use the work and images created pursuant to this Agreement an unlimited  number of times, and if the grant is for magazine usage, shall be first North American serial rights only. ALL RIGHTS NOT EXPRESSLY GRANTED TO CLIENT ARE RESERVED TO PHOTOGRAPHER, including without limitation, copyrights, licensing, and ownership rights in the  works, images, and photographic materials, including digital files, transparencies, negatives, prints, and reproductions regardless of  media. Client shall not modify, directly or indirectly, any of the works, images, or photographic materials except for cropping and size modifications to the original submitted images, whether by digitized encodations or any other form or process, whether now in  existence or which may come into being in the future, without the prior express written consent of P3 Photography LLC. No third party, including without limitation Client’s customers, contractors, suppliers, vendors, assignees, licensees, and invitees, shall  have the rights to reproduce or commercially exploit in any manner any work, image, or product created or composed pursuant to this  Agreement. Client agrees to not disseminate or make any such work, image, or product available to any third party other than in  connection with the design, manufacture, or marketing of Client’s own products and/or projects without the prior express written  consent of P3 Photography LLC., and further agrees to refer to Photographer any inquiries from third parties regarding commercial  exploitation of the work, images, or product created hereunder.
